To register a business, you can apply to:

• State Register of Legal Entities Agency (Yerevan, Komitas 49)
• Regional offices of the State Register of Legal Entities Agency
• Banks operating in the Republic of Armenia (Before applying, it is necessary to check with the bank whether they offer this service.)
• Haypost branches

You must apply to the Central Bank of the Republic of Armenia to register a company in the financial, banking, credit, or insurance sectors.

Registration of legal entities takes:

• 1 business day if the founders are individuals and do not use the standard forms of documents provided by law.
• 2 business days if there is a legal entity among the founders and they do not use the standard forms of documents provided by law.
• Immediate registration is available if the registrant uses the standard forms of documents provided by law when submitting the documents to the State Register of Legal Entities Agency.

The information required from the founders may vary depending on their citizenship and whether they are an individual or a legal entity.

In case of being a citizen of the Republic of Armenia, the founder must submit:

• Passport or identification card
• Public services number

In case of not being a citizen of the Republic of Armenia, the founder must submit:

• A copy of the identity document notarized with an Armenian translation
  Public services number

If the founder is a legal entity registered in the Republic of Armenia, the following must be submitted:

• The relevant decision of the authorized body of the legal entity's management regarding establishing a new legal entity, as well as the name and state registration number of the founding legal entity.

If the founder is a foreign legal entity, the following must be submitted:

• The relevant decision of the authorized body of the legal entity’s management on establishing a new legal entity, as well as the legal entity's name and state registration number. All documents must be translated into Armenian with notarization.

In Armenia, it is possible to register a business both online and in person.

• Currently, only IEs and LLCs can be registered online, if the registrant has an identification card and a digital signature. 
• Registration in person is available to everyone, including foreign citizens.

You can check the availability of a name on the website of the Register of Legal Entities using the search engine.

If the name is available, it can be reserved for a period of up to 6 months. During this period, you can prepare the registration documents and use the already reserved name when registering the business.

The registration of your preferred name may be rejected if:

• It is similar to the name of other legal entities or contains swear words or offensive language.
• It includes the names of state government bodies of the Republic of Armenia.
• It contains the full or abbreviated name of a historical or famous person of the Republic of Armenia and was submitted without permission to use that name.

• In the case of using the name of a famous person in the company's corporate name you must submit the written consent of that person when registering the business.
• In the event of the death of a person, consent must be given by all heirs who received his inheritance.
• If a person has died and has no heirs, his full or abbreviated name may be used in the corporate name upon obtaining a permit from the State Registration Agency. This applies if the person's reputation was acquired in a field that coincides with the main field of activity of the legal entity in question.

The names of settlements (administrative territorial units) of the Republic of Armenia are used based on the permission granted by the regional governor or community head, respectively.

• The words “Armenia”, “Armenian”, and “Armenians” and their translations may be included in the company’s corporate name only upon application for registration of the corporate name. This application must be accompanied by a receipt for payment of the state duty set at 600,000 AMD per year or its 20-digit code and a corresponding certificate. The application for registration of the name and the first payment of the state duty is submitted at the time of business registration.
• To use the given names during each subsequent year after registration, the state duty must be paid in advance, and the payment receipt or its 20-digit code must be submitted to the RA State Register of Legal Entities Agency by the end of that year.
• The beginning of the year of granting permission to use the mentioned words is the day of registration of the corporate name or its change.
• Using these words without payment of state duty is possible if they are part of the founder’s name.

An electronic signature is a method of validating digital documents using an identification card or mobile ID SIM card, which allows you to register an organization online, register with the tax system, approve electronic documents, etc.

Using an electronic signature has a number of advantages:

• It confirms the signer's copyright to the document.
• It's not forgeable since it is signed with the author's identification card.
• It's unique and intended for single use. Being created based on the content of an electronic document, it is used exclusively for the document in question.
• The document signed with it cannot be changed since any change made to the document invalidates the signature.

In Armenia, electronic signatures carry the same legal weight as physical ones. If you prefer to sign online, you can do it with a electronic signature, which you can obtain through a YesEm mobile ID SIM card or an ID card with a card reader.

A trademark is a letter, number, image, or hologram that can be represented graphically.

The purpose of registering a trademark is to distinguish the goods and services produced by a specific individual or legal entity from those of others.

By becoming the owner of a registered trademark:

• You will have the exclusive right to distinguish your goods and services from those of others and to grant others permission to use the mark in exchange for a fee.

• You will promote the development of your business by becoming recognizable among consumers and increasing business profitability.

• You will prevent unfair competition - the production and sale of counterfeit or very similar products by other manufacturers.

• You will be able to legally prohibit the sale of such a product and demand and receive monetary compensation for the damage suffered.

• Both individual entrepreneurs and legal entities can register a trademark.
• Citizens of other countries may acquire and dispose of a trademark in accordance with international treaties of the Republic of Armenia or on the principle of reciprocity and with equal rights to citizens of the Republic of Armenia.
